TERMS OF USE

This website is owned and operated by THESURETRANSACTION.com LLC (referred to as “we,” “us,” “our” and “THESURETRANSACTION.com”). We refer to this website and all of the information, tools, products, and services that are available from this website as “Furnishings.” We offer the Furnishings to you, the user, conditioned upon your acceptance of all of the terms and conditions in these Terms of Use (referred to collectively as these “Terms”).

By accessing, using, downloading, or purchasing any of the Furnishings (referred to collectively as “using” or “use”), you agree to be bound by these Terms. Please read these Terms carefully. These Terms are a legally binding contract. If you do not agree with any of these Terms, do not use the Furnishings.

These Terms apply to all users, including users who are browsers, vendors, customers, merchants, or contributors of content. If you use the Furnishings as an employee or agent of an organization, you agree that you are agreeing to these Terms on behalf of that organization. Your use of the Furnishings is also subject to our Privacy Policy, which describes how we collect, use, and share your personal information.

The current version of these Terms will always be posted on this page. Any new Furnishings which are added to our website will also be subject to these Terms.

Please note that, as set forth below, these Terms require the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class actions, and also limit the remedies available to you in the event of a dispute.

The Furnishings are not for use by minors. You must be the legal age of majority in your state of residence to use the Furnishings. In no event is use of the Furnishings permitted by those under the age of 16. By using the Furnishings, you agree that you satisfy these requirements, and you represent that you are at least the age of majority in your state of residence.

We are not a law firm or real estate broker and we do not provide legal or real estate advice. We provide a platform for information and self-help for persons who choose to prepare their own forms and documents.

The Furnishings are provided for your private use and do not constitute legal or real estate advice. The Furnishings are not guaranteed to be correct, complete, or suited for your particular needs. We do not review any information you provide for legal accuracy or sufficiency, draw legal conclusions, provide opinions about your selection of forms, or apply the law to the facts of your situation. The law is different from jurisdiction to jurisdiction and may be subject to different interpretations by different courts. The law is a personal matter, and no general information or tool like the kind we provide can be guaranteed to fit every circumstance.

Neither THESURETRANSACTION.com nor any information we provide is a substitute for legal or real estate advice from an attorney or real estate professional. Further, as we are not an attorney or law firm, communication between you and us will not be protected as privileged communication under the attorney-client privilege or work product doctrine, and your use of the Furnishings will not create an attorney-client relationship between you and us. Unless you are otherwise represented, you will represent yourself in any legal or real estate matter you undertake through the Furnishings.

2. WE RESERVE THE RIGHT TO REFUSE SERVICE OR MODIFY, SUSPEND, OR TERMINATE THE FURNISHINGS AT ANY TIME.

We reserve the right, at any time and from time to time, for any reason or no reason at all, and without notice or liability to you or any third party, (a) to refuse service to anyone, (b) to modify, suspend, or discontinue the Furnishings (or any part thereof), (c) to suspend or terminate your access to the Furnishings, and (d) to change the prices we charge for the Furnishings. Some reasons why we might suspend or terminate your access to the Furnishings include, but are not limited to, if you are not complying with these Terms, or if you are using the Furnishings in a manner that would expose us to legal liability, disrupt the Furnishings, or disrupt others use of the Furnishings.

3. WE ARE THE EXCLUSIVE OWNER OF THE FURNISHINGS.

The Furnishings are owned and operated by THESURETRANSACTION.com LLC. All right, title, and interest in and to the Furnishings are owned by THESURETRANSACTION.com LLC. Except as otherwise provided in these Terms, none of the Furnishings may be copied, reproduced, republished, sold or resold, downloaded, uploaded, posted, displayed, transmitted, exploited, or distributed in any way, without our prior written approval. We do not sell, license, lease, or otherwise provide any furnishings other than those specifically identified as being provided by us. Any rights not expressly granted herein are reserved by us.

4. YOUR USE OF THE FURNISHINGS MUST BE LAWFUL AND APPROPRIATE.

You may not use the Furnishings for any illegal or unauthorized purpose. You can only use the Furnishings if they do not violate the laws of your or any other applicable jurisdiction. The availability of the Furnishings in your jurisdiction is not an invitation or offer by us to use the Furnishings if doing so would violate the laws of your jurisdiction. You accept sole responsibility that your use of the Furnishings does not violate any applicable law in your jurisdiction. We reserve the right to refuse access to the Furnishings to avoid unlawful or prohibited use. Any offer for any of the Furnishings is void where prohibited.

You must not transmit any worms or viruses or any code of a destructive nature. You may not access or attempt to access any information we have not intentionally made available to you.

Your use of our website does not entitle you to resell any of our content without our prior express written approval.

5. PROHIBITED USES.

In addition to other prohibitions set forth in these Terms, you are prohibited from using the Furnishings (a) for any unlawful purpose, (b) to solicit others to perform or participate in any unlawful acts, (c) to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances, (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others, (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability, (f) to submit false or misleading information, (g) to upload or transmit viruses or any other type of malicious code, (h) to collect or track the personal information of others, (i) to spam, phish, pharm, pretext, spider, or scrape, (j) for any obscene or immoral purpose, or (k) to interfere with or circumvent the security features of our website or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Furnishings for violating any of the prohibited uses.

6. YOUR LICENSE TO USE THE FURNISHINGS.

Subject to your compliance with these Terms, you are hereby granted a limited, non-exclusive, non-transferable, revocable license to download and use the Furnishings as we intend for them to be used. We may limit the number of downloads to protect against misuse. As a registered user, you are licensed to keep, for your own personal records, electronic or physical copies of documents you create using the Furnishings. You may not copy the content of any of our forms for other use or resale. Any rights not expressly granted in these Terms are reserved by us.

Resale or unauthorized distribution of the Furnishings is strictly prohibited. Use of the Furnishings is for your personal or business use, including but not limited to use by you in connection with your representation of a client. Any resale or redistribution of the Furnishings requires our prior express written approval.

7. WE ARE THE EXCLUSIVE OWNER OF ALL INTELLECTUAL PROPERTY RIGHTS TO THE FURNISHINGS.

We retain all right, title, and interest in and to our products and services, including, but not limited to, our software, forms, images, text, graphics, illustrations, logos, service marks, trademarks, copyrights, patents, photographs, videos, music, and all related intellectual property rights. Except as otherwise provided in these Terms, you may not, and you may not permit others to:

(a) reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer, or create derivative works of any of our products or services;

(b) sell, license, sublicense, rent, lease, distribute, copy, publicly display, publish, adapt, or edit any of our products or services; or

The names of other companies and products you encounter through us might be the trademarks of their respective owners. Nothing in these Terms or the Furnishings should be understood as in any way granting any license or right to use any other person’s trademark displayed on our website. All goodwill generated from the use of our trademarks is reserved for our use, exclusively.

8. MESSAGES YOU SEND TO US.

We do not want you to submit confidential or proprietary information to us. All comments, feedback, information, and material submitted to us will be considered non-confidential and our property. By providing submissions to us, you assign to us, at no charge, all worldwide right, title, and interest in and to such submissions and any intellectual property rights associated therewith. We will be free to use and/or disseminate such submissions on an unrestricted basis for any purpose. You acknowledge that you are responsible for any submissions that you provide, including their legality, reliability, appropriateness, originality, and content.

9. YOU AGREE TO PAY FOR PURCHASES YOU MAKE.

If you buy any of the Furnishings, you agree to pay all of the applicable fees and taxes. Your purchase may also be subject to foreign exchange fees or differences in prices based on foreign exchange rates. Applicable taxes payable by you may be calculated based on the billing information you provide at the time of purchase.

You agree to provide current, complete, and accurate purchase and account information for all purchases you make from us. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

10. REFUNDS.

Unless stated differently on our website, all purchases from us are final and we will not have any obligation to issue full or partial refunds. We reserve the right to change our refund policy at any time and from time to time. We reserve the right to remedy customer issues and concerns in our sole discretion on a case-by-case basis. If you have any concerns, please contact us immediately by email at help@thesuretransaction.com. Any refunds will be issued to the same payment method used for purchase.

11. OPTIONAL TOOLS

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. You agree that we will have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through our website is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider.

We may also, in the future, offer new Furnishings through our website (including, the release of new tools and resources). Such new Furnishings will be subject to these Terms.

If you use any product or service provided on a linked site, we will not be responsible for any act or omission associated with such linked site, including but not limited to any third-party’s access to or use of your customer data, and we do not warrant or support any product or service provided by such linked site.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY FULLY RELEASE AND FOREVER DISCHARGE THESURETRANSACTION.COM LLC, ITS DIRECT AND INDIRECT SUBSIDIARES AND AFFILIATES, AND ITS AND EACH OF THEIR OWNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY AND ALL LOSSES, LIABILITIES, DAMAGES, COSTS AND EXPENSES (INCLUDING BUT NOT LIMITED TO ATTORNEYS’ FEES AND COURT COSTS), CLAIMS, AND ACTIONS OF ANY KIND (COLLECTIVELY, “CLAIMS“), WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR RELATING TO YOUR USE OF THE FURNISHINGS OR YOUR VIOLATION OF THESE TERMS, EXCEPT TO THE EXTENT ANY CLAIMS ARE CAUSED BY OUR GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT.

YOU ACKNOWLEDGE THAT THIS RELEASE LIMITS THE REMEDIES THAT MIGHT OTHERWISE BE AVAILABLE TO YOU. THIS IS A MATERIAL PART OF THE BARGAIN BETWEEN YOU AND US WHICH IS REFLECTED IN THE AMOUNT OF THE PRICE OF THE FURNISHINGS AND THE OTHER TERMS AND CONDITIONS TO WHICH YOU AND WE HAVE AGREED. YOU ACKNOWLEDGE THAT WE WOULD NOT HAVE OFFERED THE FURNISHINGS IF NOT FOR THIS RELEASE.

IF YOU DO NOT AGREE TO THIS RELEASE, YOU SHOULD NOT USE ANY OF THE FURNISHINGS.

YOU AGREE THAT THIS RELEASE HAS BEEN FREELY AND VOLUNTARILY CONSENTED TO AND YOU CONFIRM THAT YOU FULLY UNDERSTAND WHAT YOU ARE AGREEING TO.

15. YOU AGREE TO INDEMNIFY US FOR ANY CLAIMS THAT OTHER PEOPLE MAKE RELATING TO YOUR USE OF THE FURNISHINGS.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THESURETRANSACTION.COM LLC, ITS DIRECT AND INDIRECT SUBSIDIARIES AND AFFILIATES, AND ITS AND EACH OF THEIR OWNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FOR ANY AND ALL LOSSES, LIABILITIES, DAMAGES, COSTS AND EXPENSES (INCLUDING BUT NOT LIMITED TO ATTORNEYS’ FEES AND COURT COSTS), CLAIMS, AND ACTIONS OF ANY KIND (COLLECTIVELY, “CLAIMS”), WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, CLAIMED BY THIRD PARTIES (INCLUDING BUT NOT LIMITED TO CLAIMS MADE BY THIRD PARTIES ON YOUR BEHALF) WHICH ARISE OUT OF OR RELATE TO YOUR USE OF THE FURNISHINGS OR YOUR VIOLATION OF THESE TERMS, EXCEPT TO THE EXTENT SUCH CLAIMS ARE CAUSED BY OUR GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT.

YOU ACKNOWLEDGE THAT THIS AGREEMENT TO DEFEND, INDEMNIFY, AND HOLD HARMLESS LIMITS THE REMEDIES THAT MIGHT OTHERWISE BE AVAILABLE TO YOU. THIS IS A MATERIAL PART OF THE BARGAIN BETWEEN YOU AND US WHICH IS REFLECTED IN THE AMOUNT OF THE PRICE OF THE FURNISHINGS AND THE OTHER TERMS AND CONDITIONS TO WHICH YOU AND WE HAVE AGREED. YOU ACKNOWLEDGE THAT WE WOULD NOT HAVE OFFERED THE FURNISHINGS IF NOT FOR THIS AGREEMENT TO DEFEND, INDEMNIFY, AND HOLD HARMLESS.

IF YOU DO NOT AGREE TO THIS AGREEMENT TO DEFEND, INDEMNIFY, AND HOLD HARMLESS, YOU SHOULD NOT USE ANY OF THE FURNISHINGS.

YOU AGREE THAT THIS AGREEMENT TO DEFEND, INDEMNIFY, AND HOLD HARMLESS HAS BEEN FREELY AND VOLUNTARILY CONSENTED TO AND YOU CONFIRM THAT YOU FULLY UNDERSTAND WHAT YOU ARE AGREEING TO.

16. NO MATTER WHAT, YOU AGREE THAT OUR LIABILITY WILL BE LIMITED.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, TO THE FULLEST EXTENT PERMITTED BY LAW, EXCEPT WHEN CAUSED BY OUR GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT, YOU AGREE THAT THESURETRANSACTION.COM LLC, ITS DIRECT AND INDIRECT SUBSIDIARIES AND AFFILIATES, AND ITS AND EACH OF THEIR OWNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF USE, DATA, BUSINESS, OR PROFITS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, TO THE FULLEST EXTENT PERMITTED BY LAW, EXCEPT WHEN CAUSED BY OUR GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT, YOU AGREE THAT THESURETRANSACTION.COM LLC, ITS DIRECT AND INDIRECT SUBSIDIARIES AND AFFILIATES, AND ITS AND EACH OF THEIR OWNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE TO YOU UNDER ANY CIRCUMSTANCES, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, FOR MORE THAN THE AMOUNT YOU PAID FOR THE FURNISHINGS. THIS MEANS THAT YOU WILL NOT BE ABLE TO RECOVER MONEY DAMAGES FROM THESURETRANSACTION.COM OR ANY OF ITS OWNERS, MEMBERS, MANAGERS, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS IF YOU OBTAINED THE FURNISHINGS FOR FREE.

YOU ACKNOWLEDGE THAT YOUR AGREEMENT TO EXCLUDE CERTAIN KINDS OF DAMAGES AND LIMIT OUR LIABILITY LIMITS THE REMEDIES THAT MIGHT OTHERWISE BE AVAILABLE TO YOU. THIS IS A MATERIAL PART OF THE BARGAIN BETWEEN YOU AND US WHICH IS REFLECTED IN THE AMOUNT OF THE PRICE OF THE FURNISHINGS AND THE OTHER TERMS AND CONDITIONS TO WHICH YOU AND WE HAVE AGREED. YOU ACKNOWLEDGE THAT WE WOULD NOT HAVE OFFERED THE FURNISHINGS IF NOT FOR THIS AGREEMENT TO EXCLUDE CERTAIN KINDS OF DAMAGES AND LIMIT OUR LIABILITY.

IF YOU DO NOT AGREE TO THIS EXCLUSION OF CERTAIN KINDS OF DAMAGES AND LIMITATION OF OUR LIABILITY, YOU SHOULD NOT USE ANY OF THE FURNISHINGS.

YOU AGREE THAT THIS EXCLUSION OF CERTAIN KINDS OF DAMAGES AND LIMITATION OF OUR LIABILITY HAS BEEN FREELY AND VOLUNTARILY CONSENTED TO AND YOU CONFIRM THAT YOU FULLY UNDERSTAND WHAT YOU ARE AGREEING TO.

17. DISPUTE RESOLUTION AND CLASS ACTION WAIVER.

Most concerns can be resolved quickly by contacting us at help@thesuretransaction.com. If we are not able to resolve a dispute with you after attempting to do so informally, then as a condition to your use of the Furnishings we mutually agree to resolve such dispute, whether based in contract, tort, or any other legal theory, through binding arbitration under the auspices of JAMS Alternative Dispute Resolution (“JAMS“). JAMS will administer any such arbitration under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. The arbitration will be held in Johnson County, Kansas or in the county in the United States where you live or work, or any other location as to which we may then mutually agree. A party seeking arbitration must first send to the other, by certified mail, a written notice of dispute.

You may only resolve disputes with us on an individual basis. You may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.

Notwithstanding our agreement to arbitrate our disputes as provided above, the following exceptions will apply to the resolution of disputes between us:

(a) Either you or we may assert claims, if they qualify, in small claims court in Johnson County, Kansas or in any county in the United States where you live or work without first engaging in arbitration or the informal dispute-resolution process described above.

(b) We may bring a lawsuit against you in any court of competent jurisdiction solely for injunctive relief to stop any unauthorized use or abuse of the Furnishings without first engaging in arbitration or the informal dispute-resolution process described above.

(c) We may bring a lawsuit against you in any court of competent jurisdiction solely for injunctive relief to stop any intellectual property infringement without first engaging in arbitration or the informal dispute-resolution process described above.

(d) If the agreement to arbitrate provided herein is found to be inapplicable or unenforceable for any reason, then as a condition to your use of the Furnishings we agree that any resulting judicial proceedings must be brought in State court in the State of Kansas in Johnson County, Kansas or, if it has or can acquire jurisdiction, in the United States District Court for the District of Kansas, and by your use of the Furnishings you expressly consent to venue and personal jurisdiction of the courts therein.
